The agreement between Modular Media and the schools publishing with Express — the service, accounts, content, fees, support and how a subscription ends.
These terms apply to schools using Express, the school newsletter and calendar platform provided by Modular Media (ABN 15 046 323 128) (“Modular Media”, “we”). The school subscribing to Express is “the school” or “you”. Our Newsletter Privacy and Data Handling page forms part of these terms.
Express lets school staff write, publish and email newsletters and publish a school calendar. Staff sign in to the staff application; families read published newsletters as web pages and may subscribe by email. Express has no student accounts and no student communication features.
2.1 The school nominates its administrators, who add and remove staff accounts. The school is responsible for removing access for staff who leave or no longer need it.
2.2 Every staff account must use its own login and two-factor authentication. Staff must keep their credentials confidential and tell us promptly if they suspect an account has been compromised.
2.3 Modular Media staff hold administrative access for support and maintenance only. Everyone with that access holds a current Working With Children Check or recognised equivalent.
3.1 The school owns everything it puts into Express: articles, photographs, documents, calendar events and subscriber lists (“school content”). We use school content only to provide the service to the school, and for no other purpose. We do not sell, rent or trade it, and we do not use it for advertising, market research or to train artificial intelligence or machine learning models.
3.2 The school is responsible for its content, including having appropriate consent for any photographs or names of students and staff it publishes, in line with its own privacy, consent and child-safe policies. Published newsletters are public web pages; they are hidden from search engines but readable by anyone with the address.
3.3 Sponsor and advertising content. Where the school displays sponsor graphics, it must not promote or depict alcohol, tobacco or vaping products, gambling, controlled or banned substances, firearms or firearm clubs, adult products or services, or any content a reasonable member of the school community would consider offensive. We may remove content that breaches this clause, telling the school why.
3.4 The school must not use Express to publish unlawful content, content that infringes someone else’s rights, or malicious files, and must not attempt to access another school’s information or interfere with the service.
4.1 We handle personal information in line with the Privacy Act 1988 (Cth) and the Australian Privacy Principles and, for Victorian government schools, the Privacy and Data Protection Act 2014 (Vic), as described on our privacy page.
4.2 We protect school content with the controls described on our privacy page, including encryption in transit and at rest, separation between schools enforced in the database, and two-factor authentication for staff.
4.3 Data breaches. If an incident involves unauthorised access to, or disclosure of, the school’s information, we will notify the school’s principal and privacy contact as soon as practicable and within 72 hours of discovering it, with what happened, what information and which individuals were affected, what we have done, and what the school may need to do. We will support the school in meeting its own notification obligations.
4.4 Where data is held, and who processes it. The providers we use, what each receives and where it is located are listed on our privacy page. We will give school administrators at least 30 days’ notice by email before we move school content to a new country or add a provider that can access unencrypted school content.
5.1 Fees are as set out in the school’s quote or order form, invoiced annually in advance and payable within 30 days of the invoice date.
5.2 We will give at least 60 days’ notice of any fee change, which will apply from the school’s next billing period.
6.1 We aim to keep Express available at all times and monitor it continuously, but we do not guarantee uninterrupted service. We will try to schedule maintenance outside school hours and tell school administrators in advance of planned downtime likely to affect them.
6.2 Support is available by email at support@modularmedia.com.au during business hours.
7.1 Either party may end the school’s subscription by giving 30 days’ written notice. Fees already paid for the current billing period are not refunded.
7.2 We may suspend or end access immediately if the school seriously breaches these terms and does not fix the breach within 14 days of being asked, or if needed to protect the service or other schools.
7.3 Your information when you leave. Before the subscription ends, the school may request a copy of its content, which we will provide free of charge. After it ends, we delete the school’s articles, calendar, subscriber list, staff accounts and audit history, take the newsletter site down, and delete photographs and documents within 30 days. Backups held by our database provider expire on their normal cycle and are not restored.
8.1 Nothing in these terms excludes rights the school has under the Australian Consumer Law that cannot be excluded.
8.2 To the extent the law allows, our total liability to the school in connection with Express is limited to the fees the school paid in the 12 months before the claim, and neither party is liable for indirect or consequential loss.
We will email every school administrator at least 30 days before a change to these terms takes effect, explaining what is changing and why. Minor corrections that do not affect the school’s rights may be made without notice; the version and date at the top always show the current version.
These terms are governed by the laws of Victoria, Australia, and the courts of Victoria have jurisdiction over any dispute. If part of these terms is unenforceable, the rest continues to apply.
